General

Confirmation Message: When you opt-in to the service, we will send you a message to confirm your signup.

By providing your mobile telephone number and opting in, you give Mavacy your prior express written consent to receive recurring automated marketing and informational text messages from Mavacy. Automated messages may be sent using an automatic telephone dialing system to the mobile telephone number you provided when signing up or any other number that you designate. You understand and agree that your electronic submission of this consent constitutes your signature under the federal E-SIGN Act and has the same legal effect as a handwritten signature. Consent is not a condition of purchasing any goods or services.

Eligibility and Authority: By enrolling, you represent and warrant that (a) you are at least eighteen (18) years of age or the age of majority in your state of residence, and (b) you are the subscriber to, or the customary user with authority to consent on behalf of the subscriber to, the mobile telephone number you provided. You agree to notify Mavacy immediately if you relinquish or change that number.

Sole Sender: Your consent is given to Mavacy only. Mavacy will not sell, rent, or share your mobile telephone number with third parties for their own marketing purposes, and your consent does not extend to messages from affiliates, partners, or other senders.

Message Frequency Message frequency varies, and additional mobile messages may be sent periodically based on your interaction with Mavacy. Mavacy reserves the right to alter the frequency of messages sent at any time to increase or decrease the total number of sent messages. Mavacy also reserves the right to change the short code or phone number or alphanumeric sender where messages are sent.

Your usual message and data rates may apply. If you have any questions about your text plan or data plan, it is best to contact your mobile provider.

Carriers

Supported carriers include AT&T, Verizon Wireless, T-Mobile, U.S. Cellular, Boost Mobile, Cricket Wireless, MetroPCS, and Google Voice. Carrier support may change without notice, and the program may not be available on all carriers. Carriers, including T-Mobile, are not liable for delayed or undelivered messages. Mavacy does not guarantee that messages will be delivered, and delivery is subject to effective transmission by your carrier.

Cancellation

You may cancel at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message. Messages will provide instructions to unsubscribe either by texting STOP or through an included link. After you unsubscribe, we will send you a message to confirm that you have been unsubscribed and no more messages will be sent. If you would like to receive messages from Mavacy again, just sign up as you did the first time and Mavacy will start sending messages to you again.

Unsubscribing from text messages does not remove you from other communication channels, such as email or postal mail, and you may continue to receive transactional or service messages relating to an existing account or transaction where permitted by law.

For support regarding our services, email us at info@mavacy.com or, if supported, text “HELP” to our messages at any time and we will respond with the program name, customer support contact information, and instructions on how to unsubscribe. If we include a link in messages we send you from Mavacy, you may also access instructions on how to unsubscribe and our company information by following that link.

Transfer of Number

You agree that before changing your mobile number or transferring your mobile number to another individual, you will either reply “STOP” from the original number, unsubscribe using the link included in our messages (if one is provided), or notify us of your old number at info@mavacy.com. The duty to inform us based on the above events is a condition of using this service to receive messages.

Mobile telephone numbers collected for this messaging program will not be sold, rented, or shared with third parties for their marketing purposes.

Messaging Terms Changes

We reserve the right to change or terminate our messaging program at any time. We also reserve the right to update these Messaging Terms at any time. Such changes will be effective upon posting of the revised Messaging Terms with an updated “Last Updated” date, and, where required by law or carrier rules, we will notify you by text message. If you do not agree to a change to these Messaging Terms, you should cancel your enrollment with our messaging program. Your continued enrollment following such changes shall constitute your acceptance of such changes.

Disclaimer of Warranties

The messaging program is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Mavacy disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Mavacy does not warrant that messages will be timely, uninterrupted, error-free, or delivered at all.

Limitation of Liability

To the fullest extent permitted by law, Mavacy and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits or lost data, arising out of or relating to the messaging program, whether based in contract, tort, statute, or any other theory, even if Mavacy has been advised of the possibility of such damages. Mavacy’s total aggregate liability arising out of or relating to the program will not exceed [ONE HUNDRED DOLLARS ($100.00)]. Some jurisdictions do not allow certain of these limitations, so some may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Mavacy and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of (a) your breach of these Messaging Terms, (b) your provision of a mobile telephone number you are not authorized to enroll, or (c) your failure to notify us of a change in or transfer of your mobile number as required above.

Governing Law

These Messaging Terms and any dispute arising out of or relating to them or to the messaging program are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, the exclusive venue for any action will be the state or federal courts located in Wayne County, Michigan, and you consent to the personal jurisdiction of those courts.

Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

(a) Informal Resolution

Before initiating arbitration, you agree to notify Mavacy in writing at info@mavacy.com describing the dispute and the relief sought, and to allow sixty (60) days to resolve it informally.

(b) Binding Arbitration

If the dispute is not resolved informally, any dispute arising out of or relating to these Messaging Terms or the messaging program will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitrator has exclusive authority to resolve all disputes, including the arbitrability of any claim. The Federal Arbitration Act governs this provision.

(c) Class Action Waiver

YOU AND MAVACY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding. If this class action waiver is held unenforceable as to any claim, that claim must proceed in court and is severed from arbitration.

(d) Arbitration Opt-Out

You may reject this arbitration provision by sending written notice to Mavacy, 801 W Ann Arbor Trl Ste 205, Plymouth, MI 48170, within thirty (30) days of first enrolling in the program. Rejecting arbitration will not affect any other part of these Messaging Terms or your enrollment.

Miscellaneous

(a) Severability

If any provision of these Messaging Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.

(b) Entire Agreement

These Messaging Terms, together with our Privacy Policy, constitute the entire agreement between you and Mavacy regarding the messaging program and supersede all prior understandings on that subject.
