Position Overview:

We are recruiting a seasoned Corporate Attorney with at least 6+ years of experience to join our dynamic legal team. The ideal candidate will bring a wealth of expertise in corporate law and a proven track record of delivering high-quality legal services to business clients. Your comprehensive legal background, exemplary research capabilities, and exceptional communication skills will be pivotal in handling a diverse range of corporate legal matters. In this role, you will play a crucial part in contributing to the success of our clients by providing strategic legal counsel and representation.

Key Responsibilities:

Strategic Legal Counsel: Provide comprehensive legal advice and strategic planning for business clients, helping them navigate complex corporate laws and regulations.

Corporate Structuring: Assist clients in structuring their businesses, including the formation of corporations, partnerships, and LLCs, and advise on optimal governance practices.

Transaction Management: Oversee and execute high-value corporate transactions, such as mergers, acquisitions, and divestitures, ensuring all legal aspects are meticulously handled.

Contract Negotiation and Drafting: Draft, review, and negotiate a wide range of commercial contracts, including shareholder agreements, joint venture agreements, and partnership agreements.

Regulatory Compliance: Ensure clients comply with all relevant federal, state, and local regulations, including SEC filings, antitrust laws, and industry-specific compliance requirements.

Risk Management: Identify potential legal risks in clients’ business operations and develop strategies to mitigate these risks effectively.

Dispute Resolution: Manage and resolve disputes through negotiation, mediation, arbitration, and litigation, representing clients in legal proceedings when necessary.

Client Advocacy: Act as a staunch advocate for clients’ interests in all legal matters, maintaining a strong commitment to ethical and effective representation.

Continuous Improvement: Stay abreast of changes in corporate law and industry trends to provide clients with the most current and forward-thinking legal advice.

Team Collaboration: Work closely with other attorneys, paralegals, and support staff within the firm to deliver cohesive and comprehensive legal services to clients.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the state bar and in good standing.
  • Minimum of 10 years of experience in corporate law, preferably in a law firm setting.
  • Proven expertise in corporate transactions, mergers and acquisitions, corporate governance, and compliance.
  • Strong analytical, problem-solving, and decision-making skills.
  • Excellent verbal and written communication skills.
  • Ability to build and maintain strong client relationships.
  • Detail-oriented with a high degree of professional ethics and integrity.
  • Ability to work independently and as part of a team.
  • Proficiency in legal research tools and software.
